Over the past few days I've been discussing the issue of giving significant honoraria to directors of a not-for-profit corporation located at University of Waterloo. In my most significant contribution to the discussion, I provided some background information about the organization, Imprint, and criticized a proposal to give honoraria to directors. Since then, I've responded to some criticism of my criticism by the organization's current President.

Forgive my ignorance. What are the responsibilities of a director of Imprint?
From Imprint’s bylaw (http://imprint.uwaterloo.ca/static/bylaw.pdf):
4.14 Duties
The Board shall be responsible for:
.01 setting policies and procedures for the corporation as described in section 4.15;
.02 ensuring that the Bylaw and the Policies & Procedures of the Corporation are adhered to;
.03 providing resources to the full-time staff so that they can effectively perform their duties, and ensuring that the day to day functions of the Corporation are completed when one or more of the full-time staff positions are vacant;
.04 dispersing funds of the Corporation to further the object of the Corporation, as set out in the Letters Patent;
.05 ensuring that the Bylaw, Policies & Procedures and minutes of the Corporation are kept up to date;
.06 ensuring that the assets and equipment of the Corporation are kept up to date and in working order;
.07 maintaining liaison with other organizations for the purpose of furthering the object of the Corporation;
.08 ensuring that their successors are trained and able to exercise their powers and duties; and
.09 striving to improve the Corporation, in terms of both the stability of the Corporation and the excellence of the newspaper that it produces.
Officers have different responsibilities, depending on what they do. It’s too much to quote here; read the bylaw if you are interested. Each director of Imprint is also an officer (President, Secretary, Treasurer, VP, or Staff Liaison).
